These Terms of Service (“Terms”) govern your access to and use of the intelli.build platform and website (collectively, the “Service”), operated by intelli.build (“Company,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Use of the Service
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:
- In any way that violates applicable laws or regulations
- To transmit any unauthorized advertising or promotional material
- To impersonate or attempt to impersonate the Company or any other person
- To engage in any conduct that restricts or inhibits use of the Service
- To attempt to gain unauthorized access to any portion of the Service
2. Accounts
When you create an account, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3. Your Data and Content
You retain ownership of all product catalog data, rules, pricing information, and other content you upload to the Service (“Your Content”). By uploading Your Content, you grant us a limited license to use, process, and store it solely to provide the Service to you.
You are responsible for ensuring that Your Content does not violate any third-party intellectual property rights, privacy rights, or applicable laws.
4. Intellectual Property
The Service and its original content (excluding Your Content), features, and functionality are owned by intelli.build and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
5. Subscription and Payment
Access to certain features of the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in your subscription agreement.
We reserve the right to modify subscription fees with 30 days notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.
6. Termination
Either party may terminate the agreement by providing written notice. Upon termination, your right to use the Service will immediately cease. We will provide you with a reasonable opportunity to export Your Content prior to account deletion.
We reserve the right to suspend or terminate your access immediately if you violate these Terms or engage in conduct harmful to the Service or other users.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELLI.BUILD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in California.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
